The Companies Act, 2013 brought a new concept of One Person Company (OPC) in India. Similar to a Private limited Company, a One Person Company is a separate legal entity from its promoter, offering limited liability protection to its sole shareholder. An OPC is a hybrid structure, wherein it combines most of the benefits of a sole proprietorship and a private limited company. It has only one person as a member who will act in the capacity of a director as well as a shareholder. There is no need to share your piece of cake with other one in the name of partnership.
Every One Person Company (OPC) must nominate a nominee in the Memorandum of association of Company of the company – who in the event of death or disability of the subscriber shall assume his position.
The words (OPC)’ will have to be mentioned wherever its name is printed, engraved or affixed.
One person cannot be member of more than one OPC.
Only by an Indian Resident and citizen, OPC could be formed.
One Person Company must be converted into a Private Limited Company if it crosses an annual turnover of Rs.2 crores.

Documents Required for OPC Registration:
ID and Address Proof of the main Director and nominee director of the one person company to be incorporated: Pan Card and any one of Passport/Voter ID/Aadhar Card/Driving License. (Note: PAN is mandatory)
Residence proof of the main Director and nominee director of the one person company to be incorporated: any one of bank statement/electricity/postpaid mobile bill whichl must be less than 2 months old.
Registered Office Proof: Rental agreement or sale deed and a letter from the landlord with his/her consent to use the office as a registered office of a company must be submitted.
